Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website www.kdrsgroup.in (the "Website") and any recruitment, staffing, payroll, HR outsourcing or related services (collectively, the "Services") provided by KDRS Group Private Limited, a company incorporated under the Companies Act, 2013 in India ("KDRS Group", "Company", "we", "us" or "our").

Please read these Terms carefully. By accessing or using the Website or the Services, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, please do not access or use the Website or the Services.

1. Definitions

  • "Candidate" / "Job Seeker" means an individual who uses the Website or Services to search for, or apply to, employment opportunities, or who submits a resume or personal information to us.
  • "Client" / "Employer" means any organization or individual that engages KDRS Group to source candidates, fill vacancies, or provide HR, staffing or payroll services.
  • "User" / "you" means any person who accesses or uses the Website or Services, including Candidates and Clients.
  • "User Content" means any information, data, resume, job description, text, or other material that a User submits or makes available through the Website or Services.
  • "Service Agreement" means a separate written agreement executed between KDRS Group and a Client governing a specific engagement.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Website or Services. If you use the Website on behalf of an organization, you represent and warrant that you are authorised to bind that organization to these Terms.

3. Our Services

KDRS Group provides HR, recruitment, contract and permanent staffing, bulk hiring, executive search, payroll management and HR outsourcing services to Clients, and career support to Candidates across India and, where applicable, overseas. The specific scope, deliverables, fees and terms of any paid engagement are set out in a separate Service Agreement, which will prevail over these Terms in the event of any conflict for that engagement.

4. Role of KDRS Group — No Agency, No Guarantee

KDRS Group acts solely as a recruitment and workforce-solutions intermediary. We do not act as an agent or decision-maker for any Candidate or Client. Accordingly:

  • All hiring, selection, interview and employment decisions are made solely by the Client (Employer), not by KDRS Group.
  • We do not guarantee that any Candidate will be placed, interviewed or hired, or that any vacancy will be filled.
  • We do not guarantee the accuracy, legality or legitimacy of information provided by any Client or Candidate, or the identity of any User.
  • We are not a party to, and are not responsible for, the employment relationship between a Client and a Candidate.

5. Website Use & Accounts

  • You agree to use the Website only for lawful purposes and in accordance with these Terms.
  • If account functionality is provided, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate, current and complete information and to keep it updated.
  • You must notify us promptly of any unauthorised use of your account or any security breach.

6. Terms for Candidates / Job Seekers

  • KDRS Group does not charge Candidates any fee for job placement, resume review or career consultation. Our fees are borne by Clients. Beware of anyone requesting payment in our name and report such instances to info@kdrsgroup.in.
  • You confirm that all information in your resume, application and communications is truthful, accurate and your own.
  • You consent to your profile and application materials being shared with relevant Clients for the purpose of recruitment, subject to our Privacy Policy.
  • You are solely responsible for your job-search decisions and for independently verifying the legitimacy of any job offer before taking any action (including resigning from current employment).
  • You must not include sensitive personal data in your resume that you do not wish to be shared with prospective employers.

7. Terms for Clients / Employers

  • You confirm that all job descriptions, requirements and organizational information you provide are accurate, lawful and non-discriminatory, and comply with all applicable Indian labour, employment and anti-discrimination laws.
  • You agree to keep all Candidate information shared by KDRS Group strictly confidential and to use it only for the specific vacancy for which it was provided.
  • You agree not to bypass KDRS Group by directly engaging or hiring a Candidate introduced by us without a valid Service Agreement and payment of applicable fees.
  • You remain solely responsible for your hiring decisions, background verification, statutory compliance (including PF, ESI, gratuity, POSH and minimum-wage obligations) and the terms of employment you offer.

8. Fees & Payment

Fees for recruitment and HR services are set out in the applicable Service Agreement. Unless otherwise agreed in writing, invoices are payable within fifteen (15) days of the invoice date. Overdue amounts may attract interest and/or suspension of Services. All fees are exclusive of applicable taxes (including GST), which will be charged additionally as per law.

9. Placement Warranty & Replacement

For permanent placements, KDRS Group offers a replacement warranty as specified in the applicable Service Agreement. If a placed Candidate voluntarily exits within the agreed warranty period, we will endeavour to provide one suitable replacement at no additional recruitment fee, subject to the conditions of that Service Agreement. This warranty does not apply where fees remain unpaid or where the exit results from the Client's actions.

10. User Content & Prohibited Conduct

You retain ownership of your User Content but grant KDRS Group a non-exclusive licence to use, process and share it as necessary to provide the Services. You agree not to:

  • Submit false, misleading, unlawful, defamatory or infringing content;
  • Post fraudulent job listings or solicit fees from Candidates;
  • Upload viruses, malware or any harmful code;
  • Use bots, scrapers or automated means to access or copy the Website without our written permission;
  • Attempt to gain unauthorised access to any part of the Website, its systems or other Users' data;
  • Use the Website or Services in a manner that violates any applicable law, including the Information Technology Act, 2000 and rules made thereunder.

We may, at our sole discretion and without notice, remove any User Content or suspend or terminate access for any User who violates these Terms.

11. Intellectual Property

All content on the Website — including text, graphics, logos, icons, images, and design elements — is the property of KDRS Group Private Limited or its licensors and is protected under applicable intellectual property laws of India. You may not reproduce, distribute, modify or create derivative works from any part of the Website without our prior written permission.

12. Third-Party Links & Services

The Website may contain links to third-party websites or services (including Client career pages and job portals) that are not owned or controlled by KDRS Group. We are not responsible for the content, policies or practices of any third party. Accessing third-party sites is at your own risk and subject to their terms.

13. Data Protection & Privacy

Our collection and use of personal data is described in our Privacy Policy. We process personal data in accordance with the Digital Personal Data Protection Act, 2023 and other applicable Indian laws. By using the Services, you consent to such processing and confirm that any personal data you provide about third parties has been shared with appropriate authority.

14. Disclaimers

The Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law. KDRS Group does not warrant that the Website will be uninterrupted, error-free or secure, or that any information on it is accurate, complete or current.

15. Limitation of Liability

To the maximum extent permitted by applicable law, KDRS Group shall not be liable for:

  • The suitability, conduct or performance of any placed Candidate;
  • Hiring or employment decisions made by any Client;
  • Any indirect, incidental, special or consequential loss, including loss of income, revenue, business or opportunity;
  • The accuracy of information provided by third parties, including Clients, Candidates or background-verification agencies.

Our total aggregate liability for any claim arising out of or relating to the Services shall not exceed the service fees actually paid to KDRS Group for the specific engagement giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless KDRS Group, its directors, officers, employees and agents from any claims, damages, liabilities, costs or expenses (including reasonable legal fees) arising out of your breach of these Terms, your User Content, or your misuse of the Website or Services.

17. Termination & Suspension

Either party may terminate a Service engagement in accordance with the applicable Service Agreement. KDRS Group may suspend or terminate your access to the Website at any time, without notice, if you violate these Terms or where required by law. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification and governing law) shall survive.

18. Force Majeure

KDRS Group shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, government action, strikes, or failure of telecommunications or internet infrastructure.

19. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute-resolution clause below, the courts at Delhi, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

20. Dispute Resolution

The parties shall first attempt to resolve any dispute amicably through good-faith discussions. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Delhi, India, the arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, and the language shall be English.

21. General

  • Severability: If any provision of these Terms is held invalid, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Entire Agreement: These Terms, together with any applicable Service Agreement and our Privacy and Cookie Policies, constitute the entire agreement between you and KDRS Group regarding the Website and Services.
  • Assignment: You may not assign your rights under these Terms without our prior written consent; KDRS Group may assign its rights to an affiliate or successor.

22. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Website or Services after any change constitutes acceptance of the revised Terms.
